End-user licence agreement

Effective date 22 September 2026. Licensor: IQTools Ltd, New Zealand. Autodesk and Revit are trademarks of Autodesk, Inc.; IQ Tools is not affiliated with or endorsed by Autodesk.

1. Licence grant

IQTools Ltd grants the licensee a non-exclusive, non-transferable licence to install and use IQ Tools with Autodesk Revit, for the licensee's internal business purposes, for the number of seats purchased and for the term paid for.

2. Seats & trial

Seats are named: one seat is one named user on one machine. A seat may be reassigned to another user or machine through the account; concurrent use of one seat by more than one user is not permitted. The trial runs for 14 days with full function, becomes read-only when it expires, and may be used once per user per machine.

3. Restrictions

The licensee must not reverse engineer, decompile or disassemble the software except to the extent the law permits; must not circumvent or disable licence checks; must not resell, rent, lease or use the software to provide a service bureau; and must not remove or alter any proprietary notice.

4. Your models and your data

The licensee retains all rights in its Revit models and in the data IQ Tools reads from them. IQ Tools writes to a model only what the user approves in a Sync Review. The licensee is responsible for reviewing each batch before approving it and for maintaining backups of its models. IQTools Ltd does not access, receive or store model data; see the Privacy policy.

5. Warranty & liability

IQTools Ltd warrants that, for 30 days from first activation, the software will perform materially as documented. The licensee's exclusive remedy for a breach of this warranty is repair, replacement or a refund of the fees paid for the current term. To the extent the law permits, all other warranties, express or implied, are excluded. IQTools Ltd's total liability under this agreement is limited to the fees the licensee paid in the twelve months before the claim arose. IQTools Ltd is not liable for indirect or consequential loss, including loss arising from an edit the user approved in a Sync Review. Where the software is acquired for business purposes, the parties agree that the New Zealand Consumer Guarantees Act 1993 does not apply.

6. Term & termination

A subscription runs for the monthly or annual term purchased and renews automatically unless cancelled before the renewal date; a cancelled seat runs to the end of the paid term. When a subscription expires the software becomes read-only: the model data remains the licensee's, and edits staged before expiry may still be committed or exported during the 14-day sync window. IQTools Ltd may terminate this agreement for a material breach that is not remedied within 14 days of notice. Sections 3, 4, 5 and 7 survive termination.

7. Governing law

This agreement is governed by the law of New Zealand, and the parties submit to the non-exclusive jurisdiction of the courts of New Zealand.
